These terms govern your use of utmostfinancial.biz and describe the basis on which Utmost Bookkeeping LLC, doing business as Utmost Financial ("Utmost Financial", "we", "us"), provides its services. By using this website you accept these terms. If you do not accept them, please do not use the site.

1. Who These Terms Are With

2. Scope Of Services

Utmost Financial provides bookkeeping, accounting and financial reporting, year-end contractor information filings, and fractional CFO and financial planning advisory services to business owners. The services listed on this website describe the categories of work the firm performs. They are not an offer capable of acceptance, and the work actually performed for any client is defined by that client's engagement agreement.

Advisory work, including fractional CFO services, is provided as an outside advisor to your business. Nothing in these terms or in any engagement makes Utmost Financial an officer, employee, partner or agent of your business.

3. The Content On This Site Is Information Only

Everything published on this website is general information. It is not guidance about your specific circumstances, it is not a substitute for a professional review of your own situation, and it must not be relied upon as though it were. No client relationship is created by reading this site, submitting a form, or exchanging preliminary correspondence.

A client relationship begins only when a written engagement agreement has been signed by both you and Utmost Financial. That agreement, together with any statement of work under it, governs the services, the deliverables, the timetable, the fees, and each party's responsibilities. Where that agreement and these terms conflict, that agreement prevails.

4. Your Responsibilities As A Client

The quality of the work depends on the quality and completeness of what you provide. If you engage us, you agree to:

• Provide complete, accurate and timely records, statements and supporting documentation.
• Give and maintain the access we need to the accounting file and connected accounts.
• Tell us promptly about changes to the business, its structure, its accounts or its transactions that affect the work.
• Review the reports and statements we deliver and raise questions or corrections within a reasonable time.

Utmost Financial performs its work on the records supplied and is not responsible for errors or omissions arising from information that was incomplete, inaccurate or withheld.

5. Fees And Payment

Fees, billing cycles and payment terms are set out in your engagement agreement. No pricing is published on this website, and nothing here constitutes a quotation. Invoices are payable according to the terms stated on them. We may suspend work on an account that is materially overdue, after notice to you.

6. Confidentiality

Information you share with us in the course of an engagement is treated as confidential and is used only to perform the agreed services. We do not disclose it to third parties except where you direct us to, where an outside provider processes it on our behalf under our instructions, or where disclosure is required by law. Our handling of personal information is described in the Privacy Policy.

7. Intellectual Property

The content of this website, including its text, layout, graphics, logos and code, is owned by Utmost Financial or its licensors and is protected by applicable intellectual property laws. You may view and print pages for your own reference. You may not reproduce, republish, distribute or exploit any part of the site commercially without our written permission. Work product prepared for a client is dealt with in that client's engagement agreement.

To the fullest extent permitted by law, Utmost Financial and its owner will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost data or loss of business opportunity, arising out of or relating to your use of this website, whether in contract, tort or otherwise, even if we have been advised of the possibility of such damages. Our total aggregate liability arising out of or relating to your use of this website will not exceed one hundred United States dollars. Liability arising out of a client engagement is governed by the limitation of liability provision in that engagement agreement. Nothing in these terms excludes liability that cannot lawfully be excluded.

13. Indemnity

You agree to indemnify and hold harmless Utmost Financial and its owner from any claim, loss, liability or expense, including reasonable legal fees, arising out of your misuse of this website or your breach of these terms.

14. Termination

We may restrict or terminate access to this website at any time where these terms have been breached. Termination of a client engagement is governed by the engagement agreement. Provisions that by their nature should survive termination, including confidentiality, intellectual property, disclaimers, limitation of liability and indemnity, will survive.

15. Governing Law And Venue

These terms are governed by the laws of the State of Ohio, without regard to its conflict of laws rules. The state and federal courts located in Ross County, Ohio have exclusive jurisdiction over any dispute arising out of or relating to these terms or this website, and you consent to that jurisdiction and venue.

16. Severability And Entire Agreement

If any provision of these terms is held unenforceable, the remaining provisions continue in full force and the unenforceable provision is applied to the greatest extent permitted. These terms, together with the Privacy Policy, are the entire agreement between you and Utmost Financial in relation to your use of this website.
